Vusi Ndlovu Incorporated is a corporate and commercial law firm established by Vusi Ndlovu, a practising attorney with 16 years of corporate and commercial law experience gained as a practicing attorney, in-house counsel and portfolio manager working and interacting with various local and international companies, state owned entities and governments. The practice has expertise in public private partnership, infrastructure project finance and advisory, regulatory law and commercial law. Vusi Ndlovu Incorporated is a 100% black owned and managed law firm. Vusi holds the following qualifications: BA Law, LLB, LLM specializing in Company Law, Banking & Finance Law and Competition Law, Certificate Programme in Finance and Accounting (“CPFA”) from Wits Business School. Vusi completed his legal articles with Webber Wentzel Bowens in Johannesburg and admitted as an attorney of the High Court of the Republic of South Africa. During his career Vusi undertook, and oversaw, various projects in his practice. Some of the highlights are: Advising INCA in structuring the R2,6 billion funding package for the Gauteng Provincial Health Department for its Health Information Systems project, Advising the Gauteng Partnership Fund and the Gauteng Provincial Housing Department in the consolidation of certain social housing institutions in the province into a new social housing entity, Member of the consortium advising the Lesotho government on the LIPAM and the Ministry of Communications Science and Technology’s Broadcasting Complex public private partnership projects, Advising the Afritel consortium in Maputo, who have been issued with a CDMA telecommunications licence by the Mozambican government, in commercializing the licence, Advising the United Nations Development Programme on the legal and regulatory aspects of Civil Registration and Vital Statistics (CRVS) in Sierra Leone, Advising the United Nations Development Programme on the legal and regulatory aspects of implementing Biometric Voter Registration in Malawi, Advising Pioneer Transport, the concession company for the Rea Vaya Bus Rapid Transit System for Johannesburg on internal governance issues and the finalization of their shareholders’ agreement and memorandum of incorporation, Acted for the Upington community trust in their capacity as a shareholder in the company which was the preferred bidder for the Upington Airport Renewable Energy Independent Power Producer (“IPP”) solar photovoltaic project, Advising SPG Concessions, the shareholder in the Bombela Concession Company which operates the Gautrain Rapid Rail Link, whereby SPG Concessions is the implementing agent for developing and implementing a value added ICT network for the provision of cellular coverage in the Gautrain and certain of its stations, Advising Namib Oil and Gas of Namibia in its dispute with the Namibian Ministry of Mines and Energy regarding an application for an exploration licence for off-shore oil and gas blocks, Forming part of the local legal counsel team to Deutsche Bank in the bank’s capacity as lead manager for the Transnet SOC Limited $6 000 000 000 Global Medium Term Note bond issue in 2013, Forming part of the advisory team on the standardization of Public Private Partnerships by the Southern African Development Community (“SADC”), Advising RMB Holdings in the update and revision of the preference share subscription agreement between RMB Holdings and Rand Merchant Bank, Advising Rand Merchant Insurance Holdings in the update and revision of the preference share subscription agreement between Rand Merchant Insurance Holdings and Rand Merchant Bank, Forming part of the technical advisory team for the Ekurhuleni Public Transport Industry (EPTI) for Phase 1A and 1B of the City of Ekurhuleni Integrated Rapid Public Transport Network (IRPTN). Vusi is particularly proud of the following successes during his career: Closing the purchase by Kagiso Financial Services of a controlling stake in INCA, Legal advisor to INCA for INCA’s Domestic Medium Term Note programme in 2006 where the lead arranger was Standard Bank, Legal advisor to INCA on the acquisition by INCA of South African Airways’ junior loan debt from Investec Bank and Standard Bank in 2005, Closing the SADC Gaborone head office public private partnership on the lenders’ side for INCA, Advising INCA on exchange control issues relating to lending in the SADC Head Office public private partnership project in Gaborone, Botswana, Advising INCA on exchange control issues relating to sourcing R300m loan funding and R250m loan funding from the European Investment Bank, intended for lending by INCA to South African metropolitan municipalities, Finalising a R300m loan and a R250m loan to INCA from the EIB, intended for lending by INCA to South African metropolitan municipalities, Closing the sale by the J&J Group of their stake in Verizon South Africa to MTN Holdings in 2009, Closing the sale by the J&J Group of their stake in Criterion Equipment to Invicta Holdings, Advising the Gauteng Partnership Fund and Gauteng Province on the consolidation of social housing institutions and the formation of a new social housing institution in 2011.
